Is a non-compete clause enforceable if the original owner sold the company and there is now a new owner/name?
Q. My husband signed a non compete clause with his employer 5 years ago. Last August the employer sold the business and the company name changed. No new contract was signed with the new owner. Is the non compete clause still enforceable? We live in Oregon.

A. Technically, yes it is still in force. Non-compete agreements are generally enforceable in the case of a statutory merger or stock sale. Indeed, in the case of a statutory merger, the new entity or employer is the successor to the rights and liabilities of the original employer, and notwithstanding the law of assignments, the non-compete agreement remains in full force and effect after the merger, or sale. That said, the non-compete may be unenforceable after 5 years. Non-competes must be based upon the former emplyee having confidential information (such as margins, techniques, or customer lists), that would give the former employee an unfair advantage in competing with the former employer. A. By state law, they are not enforceable. That is covered under State Statute 346.02(1). However, they may be covered under local ordinance. As long as the municipal government recognizes the signs, you can still be held accountable. In these cases, you are issued an ordinance violation. Because it is not a state law, the violation does not get reported to the DMV, so it does not show on your driving record nor is it available to insurance companies. Another consideration is other laws that may apply. In Wisconsin, there are three moving violations that can be enforced in private parking lots as long as they are open to the public.
